The terms and conditions explain the nature and scope of the relationship between Clavax Technologies LLC here referred to as "CTL” or "Novus Loyalty" (as owner and management for the program) and a member of CTL's loyalty program and who is issued Novus Loyalty membership. The terms and conditions cover limitations and exclusions on the liability of CTL or Novus Loyalty and Novus Loyalty Partners.
NOVUS LOYALTY Partner/Merchant/User online or offline, he/she is deemed to have read and understood the terms and conditions of the Program and agrees to be contacted by the NOVUS LOYALTY customer service team or its telemarketer for promotional activities (SMS, Email, Social campaigns, etc.), its insurance business and confirms that he/she is bound by these terms and conditions and any changes to it from time to time.
The usage and service are subject to Terms and Conditions which include the Novus Loyalty privacy policy. It explains how Novus Loyalty collects, uses, and protects data from visitors to the website and users of the service. If you do not agree with any part of this term of usage and service, then you may not use our service in any way. Your use of Novus Loyalty indicates your acceptance of these terms and conditions. Use of our platform and certain portions are only available to registered users only. If the Client has not received access to a specific Product that offers the following functionality, then the terms for that function shall not apply.
Novus Loyalty is a SaaS-based loyalty platform that offers solutions for loyalty and referral programs for startups, SMBs, enterprises, and Organizations. Services and usage in this Agreement refer to a Client's access to the Platform, Products, and other ancillary services specified by Novus Loyalty. All content, data, and other information that the Client submits to the platform or services throughout can be used by Novus Loyalty without limitation. Novus can also use such information as Client may collect through the Services from End-Users as “Client Content” for this Agreement.
For this Agreement, the term, “Personal Information” and “Financial Information” shall mean and include without limitation. Personal information includes name, age, address, employment details, etc. Personal information may also include passwords, details of bank account, credit card, debit card, or other details of payment instruments as may be obtained from you for facilitating online payments during your usage of the website.
To access the Novus Loyalty platform and the service, you need certain registration details or other information. You expressly agree that all information you provide to register with Novus Loyalty is subject to the terms and Privacy Policy concerning your information.
Your user account is personal to you. You agree not to provide any other person or organization access to the “Platform or Service” through your user account. You agree to notify Novus Loyalty immediately if you become aware of any unauthorized access or use of your username, password, or other security information.
Novus Loyalty reserves the right to bar access to the Platform and its services from any unauthorized user.
Novus Loyalty makes content and site access to its customers and their users from a browser. If you are a registered user, then you may use the API, other application plugins, related documentation, etc. for your customer's internal business purposes to develop or enable web or other software services or applications.
Novus Loyalty makes no representation or warranty of any kind in connection with the API including without limitation or any kind of representation. Integrations, or any products or results of the use of the API will meet your organization's requirements to achieve any intended results that are compatible with your organization or any third-party software systems or other services.
Novus Loyalty clients can choose any services with any certain platforms, publishers, and any other to integrate or enable for use with the services (Third-Party Platforms).
No third-party platforms are responsible for the Services or the obligations between Novus Loyalty and the client (You). Third-party platforms cannot help with the installation or use of the Novus Loyalty program and software services. We do not control and have no liability for third-party platforms including their security, functionality, operation, availability, or interoperability.
Novus Loyalty has clear obligations under the data processing addendum to provide access and exchange of our platform credentials and End-User data with the Third-Party Platform
Novus loyalty website, platform, services, and all the information, images, logos, trade names, domain names, service marks, and other materials are the intellectual property of Clavax Technologies LLC herein referred to as "CTL” or "Novus Loyalty". In this term of service reserved by Novus Loyalty, no rights, title, or interest in or to the platform/software or any part of the service website, including, inter alia, object code, source code, design, layout, user interface, and look and feel of the website is transferred to you.
All rights are subject to protection by intellectual property laws of India and other jurisdictions to which it may extend. As a client or customer, you will not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any intellectual software, app, or platform from the website.
This Agreement is effective between Client and Novus Loyalty as a part of clients accepting this agreement and all the initial terms of your subscription to the platform or services. The term of this agreement will automatically renew the purchased subscription unless the client notifies in writing at least 3 days prior to the end of the current subscription.
The customer acknowledges that the receipt of an authorization for payment indicates that the customer further acknowledgment and receipt of an authorization of payment transaction. Customer payment obligation to Novus Loyalty is completed and the subscription to the Novus Loyalty platform will have access to platform and service and will remain in effect unless otherwise terminated in accordance with the provisions herein.
All fees and expenses described in each order or subscription are Non-Refundable in any case. Bonus, or additional, credits provided by Novus Loyalty for any reason are not refundable or redeemable for cash at any time. Novus Loyalty program fees are exclusive of any taxes whether government or non-government. Novus Loyalty is not liable to pay any kind of taxes. The client is solely responsible for paying all taxes and fees associated with the client's orders.
You agree and undertake to use the Novus Loyalty services or platform only to access information regarding the products and services provided by us. As a client, customers cannot alter or make any derivative uses of our content, trademarks, technology platform, or underlying software.
Novus Loyalty strictly infringes upon violating the rights of downloading, copying, reverse engineering, modifying, copying, distributing, transmitting, displaying, performing, reproducing, selling any information, publishing, or imitating any portion of the platform or software and its underlying user interface and content.
You agree to defend, indemnify and hold harmless Novus Loyalty and its affiliates and their respective employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, debt, or expenses.
Novus Loyalty ensures that all the information on the software platform and website is correct and is wholly responsible for it. We neither guarantee the quality, accuracy, or completeness of any data, information, product, or service.
As a client, you agree that any data downloaded or obtained through the website is done entirely at your own discretion and risk. Clients are solely responsible for any damage to their computer systems or loss of data that results from the download of such material and/or data.
Novus Loyalty is not liable for any direct, indirect, punitive, incidental, special, consequential damages, or any other damages to using the software platform and other services.
Novus Loyalty is not responsible for any non-availability of the platform features and functionality. The platform or software during periodic maintenance operations or any unplanned suspension of access may occur due to technical reasons.
Novus Loyalty is responsible for maintaining and minimizing errors, site, platform, and services in a consistent manner with prevailing industry standards.
NOVUS LOYALTY reserves the right to modify these Terms and Conditions and such changes shall be deemed effective immediately upon posting of the modified Terms and Conditions on www.NovusLoyalty.com. Members continued holding of the NOVUS LOYALTY Merchant Account following the posting of changes on www.NovusLoyalty.com will indicate their acceptance of changes.
Novus Loyalty may terminate or cancel the subscription or platform usage if the client found a violation and breach of the agreement or ceases its business operations or becomes subject to insolvency proceedings. All rights granted shall immediately expire and use of the service platform shall immediately cease and expire.
In the event of termination caused by an uncured agreement and material breach then in that case subscription fees paid are “Non-Refundable”.
The applicable provision of these Terms and Conditions shall prevail from time-to-time conflicts with any provision. These terms do not and shall not be construed to create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between Novus Loyalty and its clients.
Clients cannot assign, transfer or sublicense any rights or obligations to anyone or third-party service provider under these Terms without any written consent from Novus Loyalty. However, Novus Loyalty may assign, transfer or sublicense any or all rights or obligations under these Terms without restriction. Novus Loyalty will not be responsible for failures to fulfill any obligations due to causes beyond its control.
